PeakTime Perks: Tesla Battery Terms and Conditions

(Effective September 1, 2025)

Thank you for your interest in the CoServ PeakTime Perks Tesla Battery Program (the “Program”), a service offered by Denton County Electric Cooperative, Inc., d/b/a CoServ Electric ("CoServ").

THE PROGRAM IS OFFERED UNDER THE TERMS AND CONDITIONS SET FORTH IN THIS PROGRAM AGREEMENT ("AGREEMENT") AND ON THE CONDITION THAT YOU ACCEPT AND COMPLY WITH SUCH TERMS AND CONDITIONS. COSERV RESERVES THE RIGHT TO MAKE CHANGES TO ANY OF THE TERMS AND CONDITIONS OF THE PROGRAM IN ITS SOLE DISCRETION, INCLUDING BUT NOT LIMITED TO TERMINATING THE PROGRAM. COSERV WILL PROVIDE WRITTEN NOTICE OF ANY CHANGES TO ITS MEMBERS PARTICIPATING IN THE PROGRAM AT THE TIME OF SUCH CHANGES, WHICH NOTICE MAY BE PROVIDED BY POSTING THE CHANGES OR REVISED AGREEMENT TO COSERV’S WEBSITE.

BY SIGNING UP FOR AND CONTINUING PARTICIPATION IN THE PROGRAM YOU (A) ACCEPT, AND AGREE THAT YOU ARE LEGALLY BOUND BY, THE TERMS AND CONDITIONS OF THIS AGREEMENT; AND (B) REPRESENT AND WARRANT THAT YOU ARE OF LEGAL AGE TO ENTER INTO A BINDING AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, DO NOT PARTICIPATE IN THE PROGRAM.

The Program is available only to CoServ residential electric customers who meet certain eligibility requirements which require you to: (1) be a CoServ residential electric service account holder; (2) have an active Tesla Powerwall+, Tesla Powerwall 2 or Tesla Powerwall (collectively, “Battery”); (3) have a Battery connected to the internet through Wi-Fi or wired ethernet; and (4) agree to all the terms and conditions of this Agreement (the "Minimum Eligibility Requirements"). CoServ shall verify your eligibility prior to your participation in the Program and CoServ can deny or terminate your participation in the Program for any reason whatsoever without notice to you.

You authorize CoServ to share information with Virtual Peaker, Inc. (“VP”) and Tesla, Inc. (“Tesla”) about your energy usage and associated account and billing data in order for Tesla and VP to evaluate and improve their products and services. Such information includes, but is not limited to, your energy consumption and account billing data, billing records, billing history, meter usage data, and rate information. Your credit card, checking account, or any other similar payment information will not be shared by CoServ.

You authorize CoServ to have access to certain information (including, but not limited to, your name, email address, service address, CoServ account number, Battery serial number, activation date for your Tesla account, your Tesla account status, runtime data of Battery, setpoints for discharge of Battery, account information and other related details) to allow CoServ to verify that you meet the Minimum Eligibility Requirements and are eligible to participate in the Program, and to evaluate the comprehensive energy impact of the Battery.

The period of your participation in the PeakTime Perks Tesla Battery Program ("PTP Participation Period") shall begin on the date of enrollment of your Battery in the Program and continue until participation in the Program is terminated by you or CoServ.

For each billing period during the PTP Participation Period that you participate in the Program, you will receive a participation account credit ("Program Credit") on your billing statement for each eligible Battery you have enrolled in the Program. The Program Credit will be applied for each billing period and for each eligible Battery that you have enrolled in the Program. The initial Program Credit shall be $30, but CoServ reserves the right to change the amount of the Program Credit in its sole discretion.

You represent and warrant that the information you have provided as part of this Agreement is true and correct and you meet the Minimum Eligibility Requirements. You further agree that CoServ may terminate this Agreement, refuse to enroll you in the Program, or terminate your enrollment in the Program if you are not truthful in the information you submit as part of this Agreement, if you do not satisfy the Minimum Eligibility Requirements, or for any other reason whatsoever, with or without notice to you. You agree that you are participating in the Program on a voluntary basis and that you can terminate your participation in the Program at any time by providing notice to CoServ by emailing [email protected].

You release and hold harmless CoServ, Tesla, and VP from any liability, claim, demand, cause of action, damage or expense resulting from your participation in the Program.

This Agreement is effective upon your enrollment in the Program, and it will continue until you or CoServ cancels your participation in the Program or CoServ terminates the Program.
